Accendra Health drops equity issuance plan as CEO succession process advances

Accendra Health (NYSE:ACH) has abandoned plans to establish an at-the-market equity issuance programme, citing recent market conditions, while also providing an updated timetable for appointing a successor to Chief Executive Christopher Pesicka.
The proposed programme would have allowed Accendra to issue modest amounts of equity over time, with the proceeds intended to reduce debt. The company said cancelling the initiative will have no effect on its operating results or previously published financial guidance.
Accendra points to improving liquidity position
Accendra said it remains comfortable with its liquidity after making progress on cash collections and addressing outstanding payor collection issues.
At the end of the second quarter, the company had made no drawings on its $300 million revolving credit facility. Management also does not anticipate needing to rely significantly on the facility going forward.
The decision to abandon the equity programme therefore removes the prospect of near-term share issuance under that particular arrangement while leaving the company's existing financial outlook unchanged.
Asset disposals expected to generate $45 million
Accendra is also strengthening its cash position through the disposal of non-core operations.
The company disclosed the sale of two non-core assets, with the first transaction scheduled to close during the third quarter and the second expected to complete before the end of the year.
Combined proceeds from the two disposals are expected to total approximately $45 million in cash.
Accendra said the transactions should have only a minimal effect on Adjusted EBITDA, allowing it to raise additional liquidity while disposing of businesses that are not central to its strategy.
CEO successor expected to be named by mid-September
Accendra's board expects to appoint a successor to current Chief Executive Christopher Pesicka by mid-September 2026, ahead of his planned retirement by the end of the year.
Pesicka previously announced his intention to retire, prompting the board to accelerate its succession planning process.
The company said directors have identified a pipeline of potential candidates as they work towards selecting the next chief executive.
Pesicka will remain CEO until his successor has been appointed. He is then expected to continue supporting Accendra in an advisory capacity, helping provide continuity during the leadership transition.
The combination of improved collections, planned asset-sale proceeds and an undrawn revolving credit facility gives Accendra several sources of financial flexibility as it prepares for a change at the top of the company.
