CoreWeave (CRWV) shares are under significant pressure on Thursday morning as investors react to management's plans for a debt sale. The offering, comprising convertible senior notes due 2033, aims to raise $3 billion in fresh capital, with an option for early investors to load up on another $500 million in bonds.

The announcement adds to pressure on CoreWeave stock, which was already down roughly 25% from its recent high heading into Sept. 17.

Why Is CoreWeave Stock Slipping Today?

Investors typically read sizable convertible debt offerings as a double-edged sword — and CRWV's announcement is triggering familiar concerns.

First, convertible notes carry an inherent risk of equity dilution; if noteholders eventually convert their debt into common stock, the total share count expands, diluting existing investors' ownership.

Second, layered alongside a concurrent 35 million-share at-the-market (ATM) equity distribution program, the aggressive capital raise suggests CoreWeave's rapid cloud infrastructure and GPU expansion remains cash-intensive.

For CRWV shares, this intense burn rate reinforces near-term risks of balance sheet leverage and cash flow sustainability.

Should You Buy the Dip in CRWV Shares?

For investors, today's pullback in CoreWeave shares might look like an attractive entry point into a high-growth AI infrastructure play. Yet, caution is warranted.

Buying this dip requires conviction that the firm's aggressive buildout will yield outsized free cash flow before debt servicing costs weigh on performance.
