MercadoLibre (MELI) Priced $1 Billion of 5.85% Notes. Can Growth Cover the Funding Cost?

MercadoLibre, Inc. (NASDAQ:MELI) priced $1 billion of senior unsecured notes on September 9, 2026, with settlement scheduled for September 14 and maturity on September 14, 2036. As of September 10, the transaction had not settled.

The notes carry a 5.85% coupon, with proceeds intended for general corporate purposes. Once settled, they would require $58.5 million in annual coupon payments on the full principal outstanding, alongside repayment of $1 billion at maturity.

Management retains discretion over deployment. Logistics, payments, credit and commerce represent potential uses within the business, rather than disclosed allocations of this particular offering.

Is MercadoLibre, Inc. (MELI) Among The Aggressive Stocks Picked by Hedge Funds?

Bull Case

Ten-year funding can better match investments whose benefits emerge over several years. Logistics facilities need time to attract shipment volume, while financial-services products require investment in technology, customer acquisition and risk management before reaching scale.

For MercadoLibre, Inc. (NASDAQ:MELI), that longer horizon could reduce dependence on repeated short-term refinancing. A fixed coupon also makes contractual dollar interest payments more predictable if market borrowing rates rise.

The businesses offer several possible routes to incremental returns. Denser delivery networks can lower costs per parcel and improve delivery speed. Better service can encourage repeat purchases, while payments and lending can deepen merchant and consumer relationships.

Higher transaction frequency may also spread technology and support costs across more activity, creating opportunities to improve profitability as the businesses expand.

The unsecured structure avoids pledging specific assets to the notes, preserving flexibility over those assets. The bull case rests on disciplined deployment into projects that strengthen customer retention, improve unit economics, and produce cash through a full investment cycle.

Bear Case

The notes were priced at 97.864% of face value, implying $978.64 million before underwriting discounts and other offering expenses, against $1 billion repayable at maturity. The 6.139% yield to maturity reflects the issue discount as well as the 5.85% coupon. Coupon payments alone therefore understate the borrowing cost.

Fees and any currency hedging also affect funding economics. Taxes and project risk matter when assessing investment returns, so merely earning more than the coupon would not establish value creation.

Credit expansion illustrates the distinction. Customer interest yields must cover expected loan losses, servicing expenses, and funding costs. Rapid loan growth can increase revenue while requiring more capital and producing weaker returns if underwriting deteriorates.

Logistics carries a different risk. Warehouses, delivery capacity and technology can add costs before volumes materialize. Underused capacity or continued shipping subsidies could delay the cash generation needed to support debt service.

Currency exposure matters wherever dollar borrowing supports local-currency cash flows. Depreciation against the dollar could increase the repayment burden unless offset by hedges or matching dollar resources.

Settlement would increase gross debt before any offsetting repayments. The effect on net indebtedness depends on how much cash is retained, invested, or used to repay other obligations.

Hedge Fund Sentiment

The filings available so far reflect positions held before MercadoLibre, Inc. (NASDAQ:MELI) priced its $1 billion offering. Insider Monkey's database showed 107 hedge funds holding MercadoLibre, Inc. (NASDAQ:MELI) at the end of 2Q2026, up from 82 funds three months earlier.

Conclusion

The offering would give MercadoLibre, Inc. (NASDAQ:MELI) a longer funding horizon upon settlement. Value creation depends on how management deploys the proceeds, how debt compares with cash generation, and whether incremental returns comfortably exceed the relevant cost of capital after credit losses, operating costs, and currency effects.
