Xenetic Biosciences Inc. (NASDAQ:XBIO) on Wednesday struck a definitive share exchange agreement to purchase Santersus AG, a privately held therapeutic medical device firm advancing its selective blood purification platform.

The all-stock deal hinges on shareholder approval and involves exchanging newly issued Xenetic shares for all outstanding Santersus equity.

Following the transaction, the unified entity plans to rebrand as Santersus Bio, Inc. and trade on the Nasdaq Capital Market under the new ticker symbol "SNTS."

Targeting Neutrophil Extracellular Traps

The merger aims to build a multi-indication, clinical-stage organization centered on a single high-impact therapeutic target: neutrophil extracellular traps (NETs).

Growing evidence links NETs to various pathologies across oncology, transplantation, critical care, and autoimmune disorders.

The new company will leverage two complementary NET-targeting systems. Santersus brings its NucleoCapture technology, designed to physically filter NETs from the bloodstream.

Xenetic contributes its DNase platform, which enzymatically breaks down NETs within tissue to combat diseases through two distinct modalities.

Advancing Robust Clinical Pipeline

Together, the companies expect to advance four primary first-in-class clinical programs. NucleoCapture currently holds two U.S. Food and Drug Administration breakthrough device designations.

The first designation supports a pivotal trial for sepsis patients, treating the condition's dysregulated host response rather than just the underlying infection.

The second designation backs an upcoming pivotal study for systemic lupus erythematosus (SLE) as a non-immunosuppressive treatment approach.

Furthermore, NucleoCapture prepares to enter pivotal trials for liver transplantation to enhance graft quality during normothermic machine perfusion.

Complementing these efforts, researchers are testing Xenetic's DNase technology in a Phase 1b investigator-initiated trial in Israel.

The study pairs DNase with anti-CD19 CAR-T cells to treat high-risk large B-cell lymphoma by destroying NETs that shield tumors from immune attacks.

XBIO Price Action: Xenetic Biosciences shares were down 40.98% at $2.52 at the time of publication on Wednesday, according to Benzinga Pro data.
