Convertible Notes and ATM Program Trigger Dilution Fears

The catalyst is a fresh securities filing detailing a large capital raise. CoreWeave is launching a $3.0 billion private offering of 2033 convertible notes, plus up to $500 million of additional notes. Indicative terms point to a coupon of 2.375% to 2.875% and a conversion premium of 22.5% to 27.5%. Alongside the notes, the company outlined an equity distribution agreement to sell up to 35 million Class A shares through an at-the-market program. Capped call transactions tied to the convertibles are intended to blunt equity dilution, but the combined announcement lands as a clear dilution and leverage signal for a name already carrying heavy financing costs.

CoreWeave carried roughly $72.05 billion of total liabilities against $5.02 billion of shareholders' equity at quarter end, and Q2 interest expense reached $640 million. Management guided Q3 interest expense to $860 million to $940 million, and full-year 2026 capex to $35 billion to $39 billion. Investors are watching another financing package stack on top of that load.

Why Investors Are Skittish Despite Booming Demand

Demand looks robust. CoreWeave's revenue backlog stood near $104 billion as of June 30, 2026, and management flagged more than $25 billion of net new customer commitments added early in Q3 that sit outside that figure. Contracted power reached about 4.2 gigawatts by August 11, up from roughly 3.7 GW at Q2 end, and short-term AI compute contracts have been pricing near $40 million per megawatt. A definitive 15-year anchor lease with Blockfusion secures the Niagara Falls, NY AI campus. The company is also deploying multi-rack NVIDIA Vera Rubin NVL72 clusters and expanding higher-margin services like cross-region write acceleration and an archive tier in CoreWeave AI Object Storage.

The market response says the funding cost of that growth is the sticking point. Q2 revenue grew 112% year over year to $2.6 billion, yet the company still posted a $626 million net loss. Free cash flow was negative $5.74 billion against $9.4 billion of Q2 capital expenditures. Each new financing package tightens the loop between GPU buildout and shareholder dilution.

Peers Diverge as AI Infrastructure Names Rotate

The move stands out against a session where AI infrastructure headlines are mostly constructive. Barron's grouped CoreWeave with Nebius, Generac, Nokia, Arm, and Fluence among the day's notable stock movers, while Bloomberg flagged the CoreWeave fundraising kickoff as the driver. Options positioning looks measured, with the full-chain put/call ratio at 0.72, though the November 20, 2026 expiration ratio sits at 3.12, hinting at hedging further out. Retail chatter has skewed hard the other way, with WallStreetBets sentiment classified as very bearish across recent intervals.

Analyst positioning still leans constructive on the fundamentals, with an average price target of $144 and 21 buy ratings alongside 5 strong buys. The stock, however, now trades well below the 50-day moving average of $85 and the 200-day at $92.

What to Watch Into the Close

Traders will focus on pricing terms for the convertible when the deal launches, since a lower coupon or higher premium would ease the dilution math. The most recent 8-K and any follow-on filing today are the key documents. Keep an eye on the stock into the close for signs of stabilization after a week of steep declines.
