TNR Gold launches probe into Eucalyptus Resources

TNR Gold Corp (TSX-V:TNR, FRA:TNW, OTC:TRRXF) said on Tuesday it has begun an investigation into Eucalyptus Resources Opportunities Fund 1, LP, led by Jon Christian Evensen, over potential undisclosed coordination with other shareholders ahead of the company's annual general and special meeting set for September 22.

The company's board said it believes Eucalyptus may have failed to provide legally required disclosure regarding potential coordination with certain other shareholders to acquire TNR shares with the intention of voting jointly or in concert at the meeting.

TNR said it has asked Eucalyptus to provide all legally required disclosure to shareholders.

The board said it is critical that shareholders receive all information they are legally entitled to regarding Eucalyptus's potential coordination with joint actors before casting their votes.

The company said it is actively investigating the matter to ensure compliance with applicable securities laws and to ensure shareholders can make informed voting decisions based on full disclosure of any arrangements or relationships between Eucalyptus and other shareholders.

TNR said it would provide further updates as appropriate.
