QUALCOMM Incorporated (NASDAQ:QCOM) has struck a long-term partnership with Amazon.com, Inc. (NASDAQ:AMZN) under which Amazon could purchase as much as $60 billion of Qualcomm's AI data-center chips and related products. As part of the agreement, Qualcomm has granted Amazon warrants worth roughly $4 billion, allowing Amazon to purchase Qualcomm shares at $161.26 per share, with the warrants vesting as Amazon purchases Qualcomm products.

The companies will develop custom AI chips focused on AI inference, while also working on high-speed optical connectivity for data centers. Qualcomm is targeting $15 billion in annual data-center chip revenue by 2029, making the Amazon agreement an important validation of its push beyond smartphones.

For QUALCOMM Incorporated (NASDAQ:QCOM), the biggest positive is that the Amazon agreement gives credibility to its strategy of becoming a meaningful player in AI infrastructure rather than remaining heavily dependent on smartphones. Amazon joins Microsoft and Meta as major cloud customers working with Qualcomm on custom AI chips, potentially giving Qualcomm a much broader customer base and a path toward recurring, high-value data-center revenue. The potential $60 billion purchase commitment is particularly significant because Qualcomm is simultaneously facing the eventual loss of Apple's modem business and weaker handset demand. The deal also extends beyond compute into optical connectivity, giving Qualcomm another opportunity to benefit from the rapid growth in data-center bandwidth requirements.

For Amazon.com, Inc. (NASDAQ:AMZN), the partnership could strengthen AWS's ability to offer customers a broader and potentially more cost-efficient mix of AI infrastructure. Amazon has already built a substantial custom-chip business, with its annualized revenue run-rate exceeding $25 billion at the end of the June quarter, and working with Qualcomm could further diversify the hardware available for AI workloads. Qualcomm's focus on inference is also strategically relevant because inference demand is expected to grow as AI models become more widely deployed. Qualcomm and Amazon Face Risks as AI Infrastructure Spending Accelerates

For QUALCOMM Incorporated (NASDAQ:QCOM), the headline $60 billion opportunity should not be interpreted as $60 billion of guaranteed revenue. The purchases are tied to a long-term arrangement, and Qualcomm still has to successfully develop and commercialize chips that can compete with Nvidia and other established AI-chip suppliers. The warrants granted to Amazon also create potential shareholder dilution if exercised. More importantly, Qualcomm's $15 billion 2029 data-center revenue target now carries higher execution expectations: delays, weaker-than-expected adoption or competitive pressure could make it difficult to translate the Amazon relationship into the growth investors are anticipating. Qualcomm is also entering a market where hyperscalers increasingly want to design their own silicon to control costs and performance.

For Amazon.com, Inc. (NASDAQ:AMZN), the agreement comes with an important trade-off: Amazon is effectively giving Qualcomm an equity upside through the $4 billion warrants while committing to potentially significant purchases of Qualcomm's technology. That could ultimately benefit Qualcomm more if its chips become successful. Amazon is also already investing heavily in AI infrastructure and raising additional debt to fund its broader AI expansion, meaning another large-scale chip commitment adds to its capital requirements. Reuters reported separately that Amazon was preparing its first sterling bond sale as hyperscalers increasingly seek funding for the enormous costs associated with AI infrastructure. If AI spending produces lower returns than expected, the growing cost of data-center expansion could put pressure on Amazon's free cash flow and investment returns.

Conclusion

The agreement is more immediately bullish for QUALCOMM Incorporated (NASDAQ:QCOM), because it provides an important customer validation for its attempt to diversify into AI data centers just as its smartphone business faces structural challenges. For Amazon.com, Inc. (NASDAQ:AMZN), the deal is strategically useful because it expands AWS's custom-AI chip options and potentially improves infrastructure economics, but it also adds to the enormous investment required to build out its AI ecosystem.

Overall, the partnership strengthens the long-term AI story for both companies. Qualcomm carries the greater upside if the relationship converts into substantial recurring data-center revenue, while Amazon's benefit depends more on whether the additional AI infrastructure spending ultimately generates attractive returns.
