GoPro, Inc. (NASDAQ:GPRO) is being acquired by Starman Optical in a $285 million all-cash deal, with Starman taking a 90% stake while existing GoPro shareholders retain 10%. The transaction values GoPro at $1.14 per share, representing about a 29.5% premium to the stock's previous closing price.

The deal comes as GoPro faces significant challenges, including declining revenue, strong competition from DJI and Insta360, and higher memory-chip costs. GoPro has also warned about substantial doubt over its ability to continue as a going concern.

The strongest argument for GoPro, Inc. (NASDAQ:GPRO) is the financial relief provided by the transaction. This could be particularly valuable as demand for optical connectivity continues to rise alongside AI data-center expansion.
